It is important to obtain advice
on a contract before you commit yourself to a purchase. We will
negotiate terms and conditions and ensure your interests are
protected. Any relevant building, pest, survey and strata
inspections and reports should be obtained and reviewed at this
stage and we can assist you in doing so.
Before a property can be listed
for sale in New South Wales you need to have a comprehensive
contract to supply to your agent. The contract must include all
prescribed documentation and relevant information affecting your
property which as a vendor you are required by law to disclose.

Sales
& Acquisitions of Commercial Property
We prepare contracts for the sale of shops, offices, factories
and warehouses, whether vacant or leased and can advise on
general GST issues such as whether the sale is the supply of a
“going concern”.
If you are purchasing, we will conduct due diligence on all
matters including investigation of council zoning and
development issues.
Sale
and Purchase of Business
We prepare contracts for the Sale of Business in order to
protect your interests and minimise your exposure. We obtain the
required documents and provide advice on what matters to include
in the contract.
If you are
purchasing a business, we will review the contract and negotiate
its terms on your behalf, liaise with your finance provider and
ensure the contract contains appropriate vendor warranties,
trade restraints, licenses and agreements. We also deal with the
transfer of any existing lease of the business premises or
equipment or, if necessary, negotiate a lease on new terms.
We give
advice on the form of proposed purchase entity whether you are
to be a sole trader, partnership or company and the implications
of each type of structure.
Mortgages and Refinancing
We liaise with your mortgagee to ensure all its requirements are
complied with. If you are discharging your existing mortgage or
refinancing a loan we will organise this on your behalf.
If you are a mortgagee we will draft the mortgage documentation
and attend to registration in order to ensure your interest in
the land or property is protected.
